Terms of Service

These Terms of Service ("Terms") govern your use of the Midoro application ("App") operated by MiekoArts LLC ("we," "our," or "us"), a Nevada limited liability company. By downloading, installing, or using Midoro, you agree to these Terms. If you do not agree, do not use the App.

1. Eligibility

You must be at least 13 years old to use Midoro. By using the App, you represent that you meet this age requirement. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

2. Account Registration

You may use Midoro without an account in offline mode. To access cloud sync, study rooms, and other connected features, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us promptly at support@miekoarts.com if you become aware of any unauthorized use of your account.

3. Subscriptions and Payments

Free tier. Midoro is free to download and use with a limited feature set, including basic timer functionality, up to 4 focus tags, and 30 days of data retention.

Midoro Premium. A paid subscription that unlocks additional features including unlimited focus tags, cloud sync, extended statistics, ambient animations, and unlimited data retention. Premium is offered as a monthly or yearly auto-renewing subscription.

Billing. Subscriptions are billed through your Apple App Store or Google Play Store account. Payment is charged at confirmation of purchase. Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period.

Cancellation. You may cancel your subscription at any time through your App Store or Google Play account settings. Cancellation takes effect at the end of the current billing period. You will retain access to Premium features until that date. No partial refunds are provided for unused portions of a subscription period.

Price changes. We may change subscription pricing at any time. Price changes for existing subscribers will take effect at the start of the next billing period following reasonable notice.

5. Intellectual Property

The App, including its design, code, graphics, animations, and content, is owned by MiekoArts LLC and protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes in accordance with these Terms.

6. Your Content

You retain ownership of the data you create in the App, including focus sessions, tags, and statistics. By using cloud sync or study rooms, you grant us a limited license to store, process, and transmit your data solely to provide the App's features. We do not claim ownership of your data and will not use it for purposes unrelated to operating the App.

7. Disclaimers

The App is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the App will be uninterrupted, error-free, or that defects will be corrected.

Midoro is a productivity tool. We make no guarantees about academic performance, work output, or any specific results from using the App.

8. Limitation of Liability

To the maximum extent permitted by applicable law, MiekoArts LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, revenue, or profits, arising out of or related to your use of the App. Our total liability for any claim arising under these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or fifty dollars ($50), whichever is greater.

9. Indemnification

You agree to indemnify and hold harmless MiekoArts LLC and its officers, members, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the App or violation of these Terms.

10. Modifications to the App and Terms

We may modify, suspend, or discontinue any part of the App at any time. We may also update these Terms from time to time. We will notify you of material changes by posting updated Terms in the App or on this page. Your continued use of the App after changes take effect constitutes acceptance of the revised Terms.

11. Termination

You may stop using the App and delete your account at any time. We may suspend or terminate your access to the App if you violate these Terms, with or without notice. Upon termination, your right to use the App ceases immediately. Sections 5 through 9 survive termination.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Nevada, without regard to its conflict of laws principles. Any dispute arising from these Terms or your use of the App shall be resolved exclusively in the state or federal courts located in Clark County, Nevada, and you consent to the personal jurisdiction of those courts.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full effect.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and MiekoArts LLC regarding your use of the App.
